1. Introduction

Welcome to the Climate™ Brand Ambassador Programme!

By applying and participating in the programme, you agree to the following Terms and Conditions. These terms govern your participation as a Climate™ Brand Ambassador and outline the relationship between you (the "Ambassador") and Climate™ (the "Company").
 

2. Ambassador Relationship

As a Climate™ Brand Ambassador, you acknowledge and agree that:

• You are an independent contractor and not an employee, agent, or partner of Climate™.

• You will not be entitled to any employee benefits, including health insurance, retirement benefits, or any other employee-related rights or benefits from Climate™.

• You have no authority to act on behalf of or bind Climate™ in any manner.

3. Eligibility and Application

3.1. To be eligible for the Climate™ Brand Ambassador Programme, applicants must first make a purchase from the Climate™ website. This step is mandatory to ensure Ambassadors have firsthand experience with our products and brand values.
3.2. All applications must include a valid Climate™ order number to verify a qualifying purchase. This can be from any new or previous Climate™ order.
3.3. Submission of an application does not guarantee acceptance into the Programme. All applications are subject to review and approval by Climate™ in our sole discretion. We reserve the right to decline any application without providing a reason.
3.4. Upon successful approval and verification of your purchase, Climate™ will issue you your unique 10% shareable ambassador code and your 30% discount code for your next Climate™ product purchase.

4. Promotional Activities

4.1. You agree to promote Climate™ products in a way that aligns with the Company’s brand and values, specifically highlighting the intersection of outdoor adventure and sustainability. This includes showcasing Climate™ gear in your outdoor activities such as hiking, jogging, surfing, snowboarding, or other adventure sports.
4.2. All promotional content must reflect your genuine experience with Climate™ products, focusing on how our gear supports your active, eco-conscious lifestyle.
4.3. Ambassadors are encouraged to produce content in outdoor settings, practising responsible and respectful behaviour towards the environment. This includes following principles like "Leave No Trace" and promoting sustainability in all aspects of content creation.
4.4. You agree to disclose your relationship with Climate™ in all promotional content, in accordance with UK advertising standards or any applicable laws governing endorsements and testimonials.
4.5. You may not promote or endorse products from competing brands that do not align with Climate™'s mission of sustainability and eco-friendly practices.

5. Use of Marketing Materials

5.1. Climate™ may provide you with marketing materials, including logos, images, videos, and copy to help with your promotions. You are permitted to use these materials solely for the purpose of promoting Climate™ products.
5.2. You may not alter or modify the marketing materials in any way without prior written consent from Climate™.
5.3. Climate™ retains all rights, title, and interest in and to all marketing materials provided to you, and you agree to return or destroy any materials upon termination of this agreement or at Climate™'s request.

6. Commission Structure

6.1. Upon approval of your application, you will receive a unique 10% shareable ambassador code to share with your audience. This code will provide a discount to your followers and track sales made through your promotion.
6.2. You will earn a commission of 15% on the net sales value (excluding shipping costs, taxes, and returns) of all eligible purchases made using your unique 10% shareable ambassador code.
6.3. The 10% shareable ambassador code is for promoting to others and may not be used for your own purchases. Your personal 30% discount code is provided for your own use on a single, subsequent purchase.
6.4. Commissions are calculated based on the net sale amount, excluding taxes, shipping fees, returns, and any discounts applied by the customer.
6.5. Commission payments will be processed monthly and paid via PayPal. You are responsible for providing accurate payment details to Climate™.

7. Compliance with Laws

7.1. You agree to comply with all applicable laws, regulations, and guidelines, including but not limited to laws related to endorsements, advertising, and intellectual property.
7.2. You are responsible for ensuring that all promotional activities comply with UK advertising standards or any other applicable regulations in your country.

8. Confidentiality

8.1. As a Climate™ Brand Ambassador, you may be given access to confidential information about Climate™, including but not limited to product details, marketing plans, and business strategies. You agree to keep this information confidential and not disclose it to any third party without Climate™'s prior written consent.
8.2. This confidentiality obligation will survive the termination of your participation in the ambassador programme.

9. Term and Termination

9.1. Your participation in the Climate™ Brand Ambassador Programme will begin upon acceptance into the programme and continue until terminated by either party.
9.2. Either party may terminate this agreement at any time, with or without cause, by providing written notice to the other party.
9.3. Upon termination, your ambassador codes will be deactivated, and you will no longer be eligible to earn commissions on any sales made after the termination date.
9.4. Any unpaid commissions earned before the termination date will be processed and paid according to the regular payment schedule.
9.5. Climate™ reserves the right to terminate your participation in the programme immediately if you breach any of the terms and conditions outlined in this agreement.

10. Intellectual Property

10.1. Climate™ owns all rights to its trademarks, logos, and other intellectual property. As an Ambassador, you are granted a limited, non-exclusive, revocable licence to use Climate™'s intellectual property solely for the purpose of promoting Climate™ products.
10.2. You agree not to use Climate™'s intellectual property in any manner that is unlawful, misleading, or disparaging.

11. Limitation of Liability

11.1. Climate™ will not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits or revenue, arising out of your participation in the ambassador programme, even if advised of the possibility of such damages.
11.2. Climate™'s total liability to you for any claim arising out of or relating to this agreement will not exceed the amount of commissions earned by you during the three months preceding the claim.

12. Indemnification

12.1. You agree to indemnify, defend, and hold harmless Climate™, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in any way related to your participation in the ambassador programme, including any breach of these terms or any wrongful conduct by you.

13. Governing Law

13.1. These Terms and Conditions will be governed by and construed in accordance with the laws of the United Kingdom.
13.2. Any disputes arising out of or relating to this agreement will be resolved in the courts located in the United Kingdom.

14. Modification of Terms

14.1. Climate™ reserves the right to modify these Terms and Conditions at any time. You will be notified of any changes, and continued participation in the programme after such modifications will constitute your agreement to the updated terms.

15. Entire Agreement

15.1. These Terms and Conditions constitute the entire agreement between you and Climate™ regarding your participation in the Brand Ambassador Programme and supersede all prior agreements or understandings, whether written or oral, relating to this subject matter.
